Official Rules

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO PARTICIPATE. A PURCHASE WILL NOT INCREASE YOUR SCHOOL’S CHANCES OF WINNING. VOID WHERE PROHIBITED OR RESTRICTED BY LAW.

OPEN TO VOTING PARTICIPATION BY ADMINISTRATORS, SCHOOL COUNSELORS, AND TEACHERS OF ELIGIBLE SCHOOL DISTRICTS WHO ARE AT LEAST EIGHTEEN (18) YEARS OF AGE OR OLDER AT THE TIME OF ENTRY AND ARE NOT ALREADY REGISTERED USERS OF THE SHARE PLATFORM.  VOID WHERE PROHIBITED OR RESTRICTED BY LAW.

The SHARE BETA COMPETITION (the “Competition”) is a competition between schools in Eligible School Districts (as defined below).  The winning schools will be determined based upon the percentage of administrators, counselors, and teachers for the school who participate in the Competition.

1. Sponsor

HotChalk, Inc., 1999 S. Bascom Avenue, Campbell, CA 95008.

2. Eligibility

To be an eligible voting participant, you must be an individual who is (i) eighteen (18) years of age or older at the time of entry, (ii) either an administrator, school counselor, or teacher employed by or under contract with an Eligible School District (as defined below), and (iii) not already a registered user of the SHARE Platform (as defined below). Void where prohibited or restricted by law. The following individuals are not eligible to participate: employees, contractors, representatives, agents, directors, and officers of HotChalk, Inc. (“Sponsor”), Concordia University Portland (“Concordia”), and their parent, subsidiary, or affiliated companies, marketing agencies, and any other parties involved in the administration of the Competition (Sponsor and Concordia, collectively with the foregoing, the “Competition Parties”) and each of the immediate family members of such excluded individuals (i.e., spouses, parents, children, siblings and the “steps” of each) and all persons living in the same household of each.

To be an eligible competitor, the school must be located in one of the following school districts (“Eligible School Districts”):

Oregon
Silver Falls School District
Tillamook School District

Colorado
Weld RE-4 School District
Greely-Evans Weld County School District 6
Sheridan School District No. 2

Florida
Sumter County School District

Texas
Texas City Independent School District

By participating in this Competition, voting participants and school competitors agree to be bound by these official rules (“Official Rules”) and by the decisions of the Sponsor in all matters relating to the Competition.

3. Competition Period

The Participation Period for the Competition commences on August 15, 2019 at 6:00:00 AM PT and ends on September 15, 2019 at 11:59:59 PM PT (“Participation Period”). Sponsor’s computer is the official time keeping device for the Competition.

4. How to Vote

NO PURCHASE NECESSARY AND NO ENTRY FEE, PAYMENT OR PROOF OF PURCHASE IS NECESSARY TO PARTICIPATE.

During the Participation Period, visit the Source for Help Advancement and Renewal for Educators professional development platform (“SHARE Platform”) at www.sharetolearn.com and create a free account. By registering for an account, you will automatically cast a vote for your school.

Each person may have a maximum of one (1) account.  Multiple accounts created by the same participant will be void.

Account registrations generated by script, macro, mechanical or other automated means are void. Account registrations that include any inaccurate, invalid, non-working, or inactive contact information will be disqualified.

Compliance with the entry requirements will be determined by Sponsor in its sole discretion.  Submissions that violate, as determined by the Sponsor, in its sole discretion, these entry requirements or do not meet the submission deadlines will be disqualified from the Competition.

5. Odds

Odds of winning depend on number of entries received.

6. Winning School Selection and Notification

On or about 10/01/2019, four (4) winning schools will be selected and ranked based on the highest percentage of the eligible administrators, counselors, and teachers affiliated with each school that cast a vote during the Participation Period.

In the event of a tie, the school with the greater number of eligible participants will be deemed the winning school.

Sponsor will notify the winning school by 10/01/2019 by e-mail sent to the school’s principal.

7.  Prizes and Prize Claim

One (1) winning school will win the first place prize.  The first place winning school will receive the services of two (2) massage therapists in the teachers’ lounge for one school day (approximate retail value (“ARV”) $1,000).  The hours and date of the massage services will be determined in Sponsor’s sole discretion.

Three (3) winning schools will win the second place prize.  The second place winning schools will each receive a Ninja – Coffee Bar 10-Cup Coffee Maker Black/Stainless coffee machine (ARV $150).

The total aggregate value of all prizes in this Competition is ARV $1,450.

The prizes are non-transferable and no prize substitution is permitted, except at the sole discretion of the Sponsor. If a prize cannot be awarded for any reason, Sponsor reserves the right in its sole discretion to substitute a prize with one of comparable or greater value.

Prizes carry no warranty other than that offered by the manufacturer. Sponsor has neither made nor is responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to any prizes, including but not limited to its quality, mechanical conditions, or fitness for a particular purpose. The winning school agrees to look solely to the manufacturer for any such warranty, representation, or guarantee.

As a condition of receiving a prize, an authorized representative of each winning school must sign and return any documents requested by Sponsor.  Failure to sign and return any requested documents by the specified return date will result in disqualification of the winning school and the forfeiture of all interest in the prize. If a school is disqualified, Sponsor reserves the right to grant the prize to the winning school with the next highest percentage of eligible participant votes.

The winning school is solely responsible for all federal, state, local, or other applicable taxes associated with the acceptance and use of the prize.  All costs and expenses associated with prize acceptance and use not specifically provided herein are the responsibility of the winning school.

The prizes will be presented by Sponsor to the winning schools during school hours.  The exact time, date, and location of the prize presentation will be determined by Sponsor in its sole discretion.

8. Publicity

By participating in the Competition, each of the participants affiliated with a winning school hereby grants to Sponsor and its agents a worldwide, royalty-free, non-exclusive license to publicly display the participant’s name, likeness, voice, title, and associated school and school district name for the purposes of promoting Sponsor and its products and services, without any additional approval or consideration.

9. Limitation of Liability

By participating in the Competition or accepting a prize (as applicable), participants and schools agree that the Competition Parties are not responsible for lost, late, misdirected, damaged, stolen, altered, garbled, incorrect, incomplete or delayed votes all of which will be void. Competition Parties are also not responsible for problems related to unauthorized human intervention or for technical malfunctions of electronic equipment, computer online systems, servers, or providers, computer hardware or software failures, phone lines, traffic congestion on the internet or any website, or for any other technical problems including telecommunication, miscommunication or failure, and failed, lost, delayed, incomplete, garbled, or misdirected communications, which may prevent the receipt of an entry or otherwise limit a participant’s ability to participate in this Competition. Competition Parties are not responsible for any other errors or malfunctions of any kind, whether network, printing, typographical, human or otherwise relating to or in connection with the Competition, including, without limitation, errors or malfunctions which may occur in connection with the administration of the Competition, the counting of votes or calculation of participation percentages, the announcement of the prize or in any Competition-related materials. As a condition of entering, participants and schools agree (and agree to confirm in writing if requested by Sponsor) that to the fullest extent permitted by applicable law: (a) under no circumstances will they be permitted to obtain awards for, and they each hereby waive all rights to claim, punitive, incidental, indirect, special, exemplary, or consequential damages and (b) that any and all claims, judgments, and award shall be limited to actual out-of-pocket costs incurred, excluding attorneys’ fees and court costs.

10. LEGAL WARNING:

ANY ATTEMPT BY AN INDIVIDUAL, WHETHER OR NOT A PARTICIPANT, TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THIS COMPETITION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND DILIGENTLY PURSUE ALL REMEDIES AGAINST ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

11. Sponsor’s Reservation of Rights

If the Competition is not capable of running as planned for any reason, including without limitation, due to a force majeure event or infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Competition, Sponsor reserves the right, at its sole discretion, to cancel or modify the Competition.  Sponsor also reserves the right to disqualify any school affiliated with an individual who tampers with the voting process or otherwise acts in violation of these Official Rules.

12. Governing Law and Jurisdiction

All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, the rights and obligations of participants, Eligible School Districts, schools or Competition Parties,  shall be governed by, and construed in accordance with, the laws of State of California, without giving effect to any choice of law or conflict of law rules. By participating, you consent to the jurisdiction and venue of the state and local courts located in Santa Clara County, California and the federal courts located in the Northern District of California for the resolution of all disputes, and agree that any and all disputes shall be resolved exclusively in those courts. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that or any other provision. If any provision of these Official Rules is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced.

13. Privacy

Any personally identifiable information collected during a participant’s participation in the Competition will be collected and used by Sponsor and its designees (i) for the administration and fulfillment of the Competition, (ii) as otherwise described in these Official Rules, (iii) as set forth in Sponsor’s privacy policy available at https://www.hotchalk.com/privacy-policy/, and (iv) to send participants Sponsor newsletters which may be of interest to participant.

To unsubscribe from Sponsor’s commercial e-mail lists, use the unsubscribe link in any commercial e-mail message you receive.

Receipt of communications from Sponsor, including the receipt of any commercial e-mail messages, is not a requirement to participate in this Competition and will not affect your school’s eligibility to win the Competition.
