SHARE, a Source for Help, Advancement, and Renewal for Educators’ Drawing for Ten $100 Gift Cards from Michael’s Contest (the “Contest”) is sponsored by SHARE (“SHARE” or the “Sponsor”) and administered by HotChalk (the “Administrator”), HotChalk, Inc. 1999 S. Bascom Avenue, Campbell, CA 95008

1. Eligibility

The Contest is open only to individuals who (i) are eighteen (18) years of age or older at the time of entry, (ii) are legal residents of the fifty (50) United States or the District of Columbia, and (ii) are employed as teachers, faculty and/or administration members in a public, private, or charter school. Void in Puerto Rico and all jurisdictions other than those stated above and where prohibited or restricted by law. The following individuals are not eligible to enter or win a prize: employees, officers, directors, agents and representatives of Sponsor or Administrator or their respective parent, subsidiary, and affiliated companies, any other parties involved in the administration of the Contest, and each of the immediate family members of such excluded individuals (i.e., spouses, parents, children, siblings and the “steps” of each), and all persons living in the same household of each. By participating in this Contest, entrants agree to be bound by these official rules (“Official Rules”) and by the decisions of the Sponsor, Administrator, and any administrators selected by Sponsor, which shall be final in all matters relating to the Contest.

Winners may be required by Sponsor and/or Administrator to supply proof of eligibility and identification. For purposes of eligibility for the Contest, an entrant’s residential address shall be the entrant’s physical residential address at the time of entry and entrant’s are prohibited from changing their physical address after entering the Contest from a non-eligible state or territory to one of the fifty (50) United States or the District of Columbia.

2. Contest Entry Period

There will be two contest periods for this one contest. Contest period one starts on October 28, 2019 at midnight and ends on November 30, 2019 at midnight (“Entry Period 1”). Contest period two starts on December 1, 2019 at midnight and ends on December 31, 2019 at midnight (“Entry Period 2”). Administrator’s computer is the official time keeping device for the Contest.

3. How to Enter

To enter, during the Entry Period, eligible persons (“Entrant”) must: (1) log into their SHAREtolearn.com portal; (2) complete at least one (1) full course, and (3) submit feedback within the portal.

Entrant agrees to be bound by these Official Rules. There is a limit of one (1) entry per Entrant for this Contest.

In the event of a dispute as to the identity of a winner, Sponsor reserves the right to deem the winner to be the authorized account holder of the SHARE account used to enter. The “authorized account holder” is defined as the natural person to whom the account used to enter on SHAREtolearn.com is assigned by SHARE.

MESSAGE AND DATA RATES MAY APPLY IF AN ENTRANT ENTERS THE CONTEST USING HIS/HER MOBILE DEVICE. HOWEVER, NOT ALL MOBILE TELEPHONE/WIRELESS PROVIDERS CARRY THE SERVICE NECESSARY TO PARTICIPATE IN THE CONTEST. ENTRANTS SHOULD CONSULT WITH THEIR PROVIDER’S PRICING AND PLANS BEFORE ATTEMPTING TO ENTER THE CONTEST.

4. Winner Selection and Notification

By December 6, 2019 at 5:00 p.m. PT, five (5) total winners will be selected from among all eligible entries received during Entry Period 1. By January 6, 2020 at 5:00 p.m. PT, five (5) total winners will be selected from among all eligible entries received during Entry Period 2. Entries will be judged by Sponsor and Administrator based equally on originality and creativity. Administrator will notify the winners via the email address used to log on to SHAREtolearn.com. If a winner does not respond to Administrator’s first attempted notification within seventy-two (72) hours, Administrator reserves the right to disqualify that winner and select a substitute winner from among all remaining eligible entries.

5. Prizes and Prize Claims

Ten (10) total winners will each win one (1) $100 gift card to Michael’s. The total ARV of the prize offered in this Contest is $100.

Odds of winning depend on number of entries received. The winners are subject to verification of eligibility, including verification of age and residency, and winning is contingent upon fulfilling all requirements of these Official Rules. The prizes are non-transferable and cannot be redeemed or exchanged for cash. No prize substitution is permitted, except at the sole discretion of the Sponsor. If a prize is unavailable or cannot be awarded for any reason, Sponsor reserves the right in its sole discretion to substitute a prize of comparable or greater retail value. No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of prizes as set forth herein to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, un-awarded, eligible prize claims.

The winner is solely responsible for all federal, state, local, or other applicable taxes associated with the acceptance and use of a prize. All costs and expenses associated with prize acceptance and use not specifically provided herein are the responsibility of the winners.

As a condition of receiving a prize, each winner must sign and return any documents requested by Sponsor or Administrator, including but not limited to, an affidavit of eligibility and publicity/liability release. Failure to sign and return any requested documents by the specified return date may result in disqualification of the winner and the forfeiture of all interest in the prize.

6. Publicity

Except where prohibited by law, by accepting a prize, each winner hereby grants Sponsor, Administrator, and their respective licensees a perpetual, worldwide, royalty-free, non-exclusive and sub-licensable right and license to use, distribute, and publicly display the winner’s name, school/institutional affiliation and likeness in any way, at any time, in any and all media, including on Instagram, Facebook, Twitter, and for use in advertising and marketing, without limitation and without any additional approval or consideration.

7. Releases, Indemnification, and Limitations of Liability

Except where prohibited, by participating in the Contest, entrants agree to release and hold harmless Sponsor, Administrator, their respective parents, subsidiaries, affiliates, officers, directors, employees agents and representatives (collectively, the “Contest Parties”) as well as Instagram, Facebook, and Twitter from and against any claim or cause of action arising out of participation in the Contest or the receipt or use of any prize, including, but not limited to, claims arising from: (a) unauthorized human intervention in the Contest; (b) technical errors or failures related to computers, servers, providers, printers or telephone, cellular networks, or network lines; (c) production errors; (d) errors in the administration of the Contest or announcements relating to the Contest or the processing of entries; (e) late, lost, or undeliverable messages or email; (b) the violation of any third-party privacy, personal, publicity or proprietary rights; (f) acceptance, attendance at, receipt, travel related to, participation in, delivery of, possession, defects in, use, non-use, misuse, inability to use, loss, damage, destruction, negligence or willful misconduct in connection with the use of a prize (or any component thereof); (g) any change in the prizing (or any components thereof); (h) any wrongful, negligent, or unauthorized act or omission on the part of any of the Contest Parties; (i) lost, late, stolen, misdirected, damaged or destroyed prizing (or any element thereof); or (j) the negligence or willful misconduct by Entrant. The Contest Parties are not responsible for any unanswered or undeliverable winner notifications. If, for any reason, an Entrant’s entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, Entrant’s sole remedy is another Contest entry, if it is possible for Entrant to submit such an entry within the Entry Period and without extension.

WITHOUT LIMITING THE FOREGOING, EVERYTHING REGARDING THIS CONTEST, INCLUDING THE PRIZES, IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT.

THE REMEDY FOR ANY CLAIM BY ENTRANT SHALL BE LIMITED TO ACTUAL DAMAGES, NOT TO EXCEED ENTRANT’S COST OF ENTERING THE CONTEST, AND IN NO EVENT SHALL ANY PARTY BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL OR INCIDENTAL DAMAGES OR HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED, INCLUDING ATTORNEYS’ FEES OR OTHER SUCH RELATED COSTS OF BRINGING A CLAIM, OR TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE OR ANY OTHER EQUITABLE RELIEF. ENTRANTS AGREE THAT THE RIGHTS AND OBLIGATIONS OF ANY ENTRANT AND/OR CONTEST ENTITIES AND/OR ANY OTHER PARTY SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION. ANY DEMAND FOR ARBITRATION MUST BE FILED WITHIN ONE (1) YEAR FROM THE END OF THE CONTEST PERIOD, OR THE CAUSE OF ACTION SHALL BE FOREVER BARRED.

8. General Conditions

In the event that the operation, security, or administration of the Contest is impaired in any way for any reason, the Sponsor may, in its sole discretion, either: (a) suspend the Contest to address the impairment and then resume the Contest in a manner that best conforms to the spirit of these Official Rules; or (b) cancel the Contest and award the prizes in a random drawing from among all eligible entries received up to the time of the impairment. The Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of the Official Rules of this or any other promotion, or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, the Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. The Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

9. Governing Law

All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, the rights and obligations of entrants and winners, and the rights and obligations of the Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of State of California without giving effect to any choice of law or conflict of law rules. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that or any other provision. If any provision of these Official Rules is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced. The forum for any dispute shall exclusively be in the state or federal courts located in or for Santa Clara County, California.

10. Privacy

The Contest is subject to the terms of Sponsor’s online privacy policy, which is available at: https://sharetolearn.com/privacy-policy/.

11. Winner’s List

For the name of the winner, send your written request with a self-addressed stamped envelope to the Sponsor address below: Attn: “SHARE Contests” and include “Winner – SHARE, a Source for Help, Advancement, and Renewal for Educators’s Drawing for Ten $100 Gift Cards from Michael’s” in the subject line. Requests must be received no later than sixty (60) days after the end of the Entry Period.
